The COVID pandemic has fostered many moves in business… some businesses have thrived, some have gone bankrupt, and some are struggling. For many businesses it has been a tough year and sales and profits have suffered, leading to being valued well less than under previous, normal times. This has led to sharks coming in and gobbling up these golden opportunities. Dewayne Southern’s team at Grant Thornton has helped many companies that have fallen into either the buy or sell side of a merger or acquisition. They will share some great advice and ‘war stories’ about the M&A environment in the pandemic.

Patrick is a Partner within our Merger & Acquisition (M&A) practice and has led or managed hundreds of buy or sell-side transactions, working with both strategic and financial buyers and sellers. Previously, he was involved in our Audit practice serving a range of clients, both public and private. Prior to his experience at Grant Thornton, he was in the Audit practice of a Big 4 firm. He has significant transaction experience across multiple industries.

Patrick’s specific advisory activities include: quality of earnings analyses; cash flow; identifying revenue sources and profitability drivers; examining operating cost structure and sustainability factors; reviewing quality and realization of assets and liabilities; identifying working capital requirements and negotiating positions; post-close working capital verification and adjustment mechanisms. He has advised on different types of transactions including standalone platforms; carve-outs, product line or facility; mergers and industry consolidations.

Russ is a Partner in our M&A Tax Services practice leading the Southeast Region. He assists clients in identifying and evaluating tax risks and opportunities in connection with transactions and in implementing federal tax planning strategies that result in significant tax and cash flow savings.

Russ has worked with numerous financial and strategic buyers in structuring acquisitions, buyouts, recapitalizations and internal reorganizations. He is experienced in leveraged buyouts, acquisitions of financially troubled companies, tax basis planning, transaction cost analysis, S corporations, net operating loss and Section 382 planning, bankruptcy and other related topics. Russ also serves a number of clients as their primary tax advisor. He joined Grant Thornton in June 2002 and has over 24 years of tax experience.

•12:45 pm – The meeting starts here. We will use about 15 minutes before the speaker to thank our host, make some announcements, and discuss how the Zoom meeting will be handled and how you can participate.

•1:00 pm – The speaker will talk for about 45 minutes to an hour saving some time for questions to be submitted via “Chat” or through the email addresses below.

About the Raleigh, NC Chapter:
The Raleigh chapter has over 1,000 members and meets monthly, under normal conditions, on the 2nd Wednesday of each month from 6:00 pm until 8:00 pm. Meeting locations vary so be sure to double check this each month. Guests and prospective FENG members are always welcome. First-timers are given the opportunity to introduce themselves to the other chapter members. Most meetings include a speaker and current topic of interest to our members.
